Upon completion of purchase and execution of the ownership transfer agreement:

• Buyer may register the song with PROs (ASCAP, BMI, etc.) under their own name
• Buyer may license the song to brands, TV, film, creators, or any third party
• Buyer may resell or reassign ownership
• SmartGeniusHub LLC retains zero rights after transfer

This is a one‑time, irreversible sale of all rights.

Restrictions Before Transfer Is Complete

Ownership is not transferred until:

1. Payment is fully processed
2. The official Transfer of Ownership Agreement is signed
3. SmartGeniusHub LLC delivers the final ownership certificate

Until these steps are complete, SmartGeniusHub LLC remains the legal owner.

• Use the track in podcasts, ads, brand content, and promotional videos
• Use the track in public performances, DJ sets, and events

• Use the track in commercial creative projects
• Release remixes or derivative works commercially, with proper credit
• Monetize content containing the track

This license does NOT allow:

• Claiming ownership of the original composition or master
• Registering the track or derivative works with any PRO (ASCAP, BMI, etc.)
• Reselling, redistributing, or re‑licensing the MP3
• Uploading the original track to streaming platforms as your own
• Using the track in TV, film, or major advertising campaigns without additional clearance

• Use the audio in personal creative projects
• Upload non‑commercial remixes to social platforms (YouTube, TikTok, Instagram, SoundCloud, etc.)
• Use the track in non‑monetized content
• Use the track in DJ practice sets (not public performances)

This license does NOT allow:

• Commercial release of any remix or derivative work
• Monetized uploads on any platform
